These Client Services Terms (Terms) apply to all Editing Services provided by Andrea Weber trading as Expansive Happiness (we, us or our) to you (Client or you, your). By ticking the checkbox and purchasing an editing service on our website, you agree to be bound by these Terms.
1. Definitions
Business Day means a day that is not a Saturday, Sunday, or public holiday in Queensland, Australia.
Editing Services (services, editing or edits) mean the delivery of Stylistic / Line editing for Work you provide to us and includes the rephrasing of wording, sentences and paragraphs for flow and ease of reading.
Final Edits mean the edits that we have provided to you that do not require further review.
Service Fee means the fee displayed on the invoice we send to you for the relevant service (inclusive of GST where applicable).
Work means the written work you provide that is to be edited by us for you under these Client Service Terms.
2. Services We Provide
2.1 We offer Stylistic / Line Editing for written Work you provide that we have agreed to edit. Stylistic / Line Editing enhances the flow and ease of reading by reviewing clarity, sentence structure, word selection and phrasing.
2.2 Editing Services are currently provided for non-fiction work including manuscript writing, memoir, posts, articles and written dialogue for verbal presentations (excluding visual accompaniments).
2.3 Stylistic Editing does not include developmental, structural or academic editing or proofreading. While some copy editing may be included, our editing should not be relied upon in this regard.
3. How It Works
3.1 When purchasing our Editing Services, you select the amount of hours you would like dedicated to your work.
3.2 You will complete the accompanying form, providing required information about the work you will be sending that requires our editing services. Information required includes type of work (manuscript, chapters, blog post, article, speech etc), word count, audience and desired publication.
3.3 You will send through the work via Google Docs where we will review and provide editing as required. You must provide us with permission as Editor of the document and you agree not to alter the work provided for this purpose during the delivery of our Editing Services. It is essential that you agree to this in order to prevent edits being overwritten and to uphold the efficiency of the editing process.
3.4 Where resphrasing or sentence restructure is required, edit suggestions will be written directly underneath the paragraph so you can clearly see and read the difference between the original and edited version. When the editing is complete, you may adapt edits to your liking and make any changes to the document.
3.5 For the purpose of keeping a record of edit suggestions, you agree to us keeping a local copy of our edits and the corresponding pages in which they appear in your work. We will send you a copy of this document via email when the edits are complete.
3.4 We may request a testimonial and if your work is published, we may request a link to the published version to include on our website.
4. Payment
4.1 Editing Services are charged at an hourly rate that is displayed on our website. A minimum purchase of two hours is required with additional units of time purchased in two hour time blocks. For clarity, our editing services are charged at an hourly rate of $65AUD so purchasing a quanity of 1 is equivalent to two hours of time with a Service Fee of $130AUD, purchasing a quantity of 2 is equivalent to 4 hours of time with a Service Fee of $260AUD, purchasing a quantity of 3 is equivalent to 6 hours of time with a Service Fee of $390AUD and so forth.
4.2 Our Service Fee must be paid in full before we begin editing. No work will commence until payment has cleared. Where a full manuscript requires editing, we suggest budgeting for several hours of work for a certain amount of chapters. This will allow you to see exactly what can be achieved within a certain timeframe and will enable forward planning for time and expence for the remainder of the manuscript.
4.3 All prices displayed on our website and on our invoices are in Australian dollars. Where we are required to charge GST, it is included in the displayed price.
4.4 We do not offer payment plans, invoicing or credit terms unless separately agreed in writing.
5. Turnaround Times
5.1 Turnaround times are in Australian Eastern Standard Time (AEST) with editing services delivered on Business Days during the working week according to AEST.
5.2 Estimated turnaround times will depend upon volume of work to be completed. We do not accept ‘rush’ jobs requiring tight deadlines for completion.
5.3 Where an estimated turnaround time has been given, we will use reasonable efforts to meet these timeframes but do not guarantee them. Delays caused by late or incomplete information from the Client will extend turnaround times. Where a potential delay originates from our own delivery of the service, we will always communicate with you via email about the expected delay.
6. Review and Revisions
6.1 We do not provide secondary revision of our editing services unless we receive communication of your concerns as outlined in 6.2. We will dedicate reasonable time to following up with any comments or concerns you may have about the editing we have provided.
6.2 Once the initial two hours (or the total of two hours if you have made the minimum purchase) of editing is complete, you will have 5 Business Days to provide feedback via the Google Docs link. If we do not receive feedback within that period, initial edits will be treated as Final Edits for the services completed within that two hour period.
6.3 Where more than 2 hours of editing services have been purchased, we will only deliver the remainder of editing within the Service Fee you have paid when we have your feedback as outlined in 6.2. This will ensure that you are happy with the services we are delivering and we are then able to continue with the knowledge of your satisfaction in our services. We will communicate to you via email when the first two hours of editing is complete and wait for your response before continuing to deliver remaining editing services.
6.4 If you are a new client and unsure about how we edit, it is suggested that you initally purchase the minimum two hour timeframe to familiarise yourself with our services.
6.5 If revision is requested beyond the scope of 6.1, we may agree to this at the regular hourly rate as outlined on our website.
7. Intellectual Property, Ownership and Attribution
7.1 Our editing services do not require attribution. Ownership of the Work belongs to you, the Client.
7.2 On payment of the Service Fee and receipt of our edits, we are granting you permission to use the editing suggestions provided. You may use the edits in their entirety or you can modify and further adapt.
7.3 Editing Services are provided authentically by us and not by AI generated material.
7.4 We retain the right to display links to the published Work on our website and social media channels.
8. Client Responsibilities
8.1 You must provide accurate and complete information about your requirements in a timely manner.
8.2 You are responsible for ensuring that any material, references, links or content you ask us to edit in the Work does not infringe any third party’s intellectual property rights, privacy rights or other legal rights.
8.3 If a third party makes a claim against us arising from material you provided or instructions you gave, you agree to indemnify us for any loss, cost or expense we incur as a result.
9. Warranties and Disclaimers
9.1 We warrant that the edits will be original and will not, to the best of our knowledge, infringe any third party’s intellectual property rights (excluding any material provided by you).
9.2 Editing provided is written for general information purposes only. It is not intended as, and must not be relied upon as, a substitute for qualified professional advice of any kind, including but not limited to medical, psychological, financial or legal advice.
9.3 We do not warrant or guarantee any particular outcome, result, traffic, engagement or commercial benefit from the editing services.
9.4 To the maximum extent permitted by law, all other warranties, representations and guarantees (whether express, implied or statutory) are excluded.
10. Limitation of Liability
10.1 To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with these Terms or the Editing Services is limited to the Service Fee you paid for the specific service giving rise to the claim.
10.2 We are not liable for any indirect, incidental, special, consequential or punitive loss or damage, including but not limited to loss of revenue, loss of profit, loss of business, loss of data or loss of reputation, however caused.
10.3 We are not liable for any loss or damage arising from: (a) your use of the Editing Services in a manner not authorised by these Terms; (b) modification or adaption of the Editing Services (c) any delay or failure caused by your late provision of information or materials; or (d) any third-party claim arising from material or instructions you provided.
10.4 Nothing in these Terms excludes, restricts or modifies any consumer guarantee or right you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded by agreement.
11. Refund Policy
11.1 If you are unsatisfied with the editing provided, this must be expressed as outlined in Clause 6. In this event, we will either conduct a review of our edits or issue you with a refund of the Service Fee for the delivery of the minimum of 2 hours purchased, whichever is requested. Where a total of 2 hours has been purchased, the Service Fee will be refunded in full if requested and in the absence of a review.
11.2 If a refund is issued under clause 11.1, you must not publish, reproduce, adapt or use any part of the editing we have provided to you in any form.
11.3 No refund will be issued after the Final Edits have been sent/delivered.
11.4 Refunds are processed within 10 Business Days using the same payment method used for the original purchase.
12. Confidentiality
14.1 Each party agrees to keep confidential any information provided by the other party that is not publicly available, including business plans, audience data and unpublished content.
14.2 This clause does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; or (c) must be disclosed by law.
13. Termination
13.1 You may cancel your order at any time before we commence Editing Services by emailing us at andrea@expansivehappiness.com. If you cancel before we have commenced our services, we will refund the Service Fee in full. If we have already commenced services, we may retain a reasonable portion of the Service Fee to reflect the work completed.
13.2 We may cancel an order and refund the Service Fee (less any costs incurred) if we reasonably believe that: (a) your instructions require us to produce content that is unlawful, defamatory or infringes a third party’s rights; or (b) you have not provided the information we need to begin work within 14 days of purchase.
13.3 Clauses 7 (Intellectual Property, Ownership and Attribution), 9 (Warranties and Disclaimers), 10 (Limitation of Liability) and 12 (Confidentiality) survive termination of these Terms.
14. General
14.1 These Terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland.
14.2 These Terms represent the entire agreement between us in relation to the services described and replace any prior discussions, representations or agreements on the same subject matter.
14.3 We may update these Terms from time to time by publishing the revised version on our website. Any changes will apply to services purchased after the date the updated Terms are published. The current version will always be available at expansivehappiness.com.
14.4 If any clause of these Terms is found to be invalid or unenforceable, the remaining clauses continue in full force.
14.5 Our failure to enforce any right under these Terms does not constitute a waiver of that right.
14.6 You may not assign or transfer your rights under these Terms without our prior written consent.
17. Acceptance
17.1 By ticking the checkbox and completing your purchase on our website, you confirm that you have read, understood and agree to be bound by these Terms.
17.2 A copy of these Terms will be emailed to you with your purchase confirmation for your records.
